Seller Representation

Arjuna first works with business owners to determine the reason and expectations of selling, estimate a value of the business and prepare the company for sale. We then prepare a comprehensive selling memorandum and related marketing documents in order to show the company in its most accurate and best light. The initial phase of the marketing campaign is to identify and pre-qualify strategic and financial buyers and create a competitive bidding environment designed to optimize the company’s market value. During the due diligence stage, Arjuna will assist in the evaluation of offers, negotiate and structure the transaction, working closely with the client’s professional advisors.

The principals of Arjuna Ventures have bought and sold their own companies as well as acting as intermediary for the sale of companies owned by others. Buyer Representation

In today’s climate of business consolidations and corporate downsizing, many companies and individuals are seeking acquisition opportunities. Arjuna Ventures can add value to the buying process by assisting in the development of an acquisition strategy and in identifying acquisition candidates through a structured search process.

Once candidates are identified, Arjuna assesses the value of each company, consults with the client on potential valuation ranges, determines the preferred structure of the transaction, advises on bidding strategies, evaluates alternate deal structures and facilitates the activities of all parties involved with the transaction. Should debt or equity financing be required by the client, we can assist with the development of a financing memorandum and conduct a search to secure necessary funding.

Managers and employees generally require assistance with a management buyout since they often do not possess the sophistication or financial resources necessary to make the purchase.
